1. Introduction

1.1 Ezzybuying provides an e-commerce and logistics platform that enables users to buy and sell goods and services, and to access shipping, delivery, and related support services.

1.2 These Terms apply to all users, including buyers, sellers, visitors, and service users.

1.3 If you do not agree with any part of these Terms, you must not use the Platform.

1.4 If you use the Platform on behalf of a business or organization, you represent that you are authorized to bind that entity, and “you” includes both you and that entity.

2. Eligibility, Registration, and Account Security

2.1 You must be at least 18 years old to register or transact on the Platform.

3. Platform Role and Contract Formation

3.1 Ezzybuying may act as:

• 3.1.1 a marketplace facilitator connecting buyers and third-party sellers; and/or
• 3.1.2 a direct seller for selected products or services identified as sold by Ezzybuying/Ezzyship.

3.2 For third-party listings, the sale contract is between buyer and seller.

3.3 For Ezzybuying-owned listings, the sale contract is between buyer and PHAM Ezzyship Logistics and Courier Ltd.

3.4 An order becomes binding when confirmed on the Platform and accepted according to checkout and order rules.

4. Product Information, Pricing, and Availability

4.1 Sellers must provide accurate product descriptions, specifications, and pricing.

4.2 Prices must be displayed in a clear manner and include required taxes and statutory charges where applicable.

4.3 Delivery, handling, packaging, insurance, and any additional fees must be disclosed before checkout.

4.4 Product images are for illustration and may vary from actual items.

4.5 We may correct obvious pricing or listing errors and cancel affected orders with notice and refund where payment was taken.

4.6 Product availability is not guaranteed until order confirmation.

5. Orders, Payment, and Fraud Prevention

5.1 You agree to provide valid payment details and authorization for charges.

5.2 Payment methods may include card, mobile money, bank transfer, wallet/store credit, or other options made available on the Platform.

5.3 We may delay, decline, or cancel transactions where fraud, risk, sanctions, or compliance concerns are identified.

5.4 In suspicious cases, we may request identity or transaction verification before completing an order.

6. Shipping, Delivery, and Logistics Services

6.1 Delivery timelines are estimates unless expressly guaranteed in writing.

6.2 Delays may occur due to operational issues, weather, customs, force majeure, public holidays, or incomplete address details.

6.3 You must provide accurate recipient and delivery information.

6.4 Delivery is deemed completed when the item is delivered to the stated address, accepted at collection point, or confirmed per delivery protocol.

6.5 Risk of loss passes according to applicable law and the delivery terms shown at checkout.

7. Returns, Refunds, and Cancellations

7.1 Returns and refunds are governed by our Returns and Refund Policy in effect at the time of purchase.

8.3 You must not submit content that is false, misleading, abusive, defamatory, obscene, hateful, discriminatory, threatening, or unlawful.

8.4 Fake, paid, manipulated, or inauthentic reviews are prohibited.

8.5 We may moderate, refuse, remove, or edit User Content at our discretion where needed for safety, compliance, or quality.

9. License to Use User Content

9.1 You grant Ezzybuying a non-exclusive, worldwide, royalty-free license to host, store, reproduce, publish, adapt, and display your User Content for Platform operation, customer service, dispute handling, fraud prevention, and lawful marketing.

9.2 This license continues for as long as needed for legitimate business and legal purposes.

9.3 You represent that you have the rights necessary to grant this license.

10. Acceptable Use

10.1 You must use the Platform lawfully and responsibly.

10.2 You must not:

• 10.2.1 hack, disrupt, overload, or interfere with Platform systems;
• 10.2.2 scrape or harvest data without express written permission;
• 10.2.3 bypass security, authentication, or access controls;
• 10.2.4 upload malware or harmful code;
• 10.2.5 use automated tools to manipulate listings, orders, prices, reviews, or traffic;
• 10.2.6 use the Platform for fraud, money laundering, sanctions evasion, or other unlawful activity.

11. Intellectual Property

11.1 All rights in the Platform, including software, layout, branding, logos, graphics, text, and databases, are owned by or licensed to PHAM Ezzyship Logistics and Courier Ltd.

11.2 You may not reproduce, distribute, modify, reverse engineer, or commercially exploit Platform materials without prior written permission.

11.3 Third-party trademarks remain the property of their respective owners.

12. Privacy and Data Protection

12.1 Personal data is processed in accordance with our Privacy Policy and Cookie Notice.

12.2 By using the Platform, you consent to data processing required to provide services, verify identity, prevent fraud, and comply with legal obligations.

12.3 Sellers are independently responsible for any personal data they receive and process.

13. Compliance, KYC, and Audit Rights

13.1 We may perform due diligence, identity verification, and compliance checks on users, sellers, transactions, and shipments.

13.2 You agree to provide documents or information reasonably required for fraud prevention, legal compliance, dispute resolution, or regulatory requests.

13.3 We may suspend services where compliance requirements are not met.

14. Disclaimer of Warranties

14.1 The Platform and services are provided on an “as is” and “as available” basis.

14.2 To the maximum extent permitted by law, we do not guarantee uninterrupted or error-free operation.

14.3 We do not guarantee specific commercial outcomes, sales volumes, or profit levels.

15. Limitation of Liability

15.1 Nothing in these Terms excludes liability where exclusion is not permitted by law.

15.2 To the maximum extent permitted by law, Ezzybuying and PHAM Ezzyship Logistics and Courier Ltd shall not be liable for indirect, incidental, special, punitive, or consequential loss.

15.3 Our total liability arising from a specific claim shall not exceed the amount paid by you for the relevant transaction giving rise to that claim.

15.4 We are not liable for losses resulting from events beyond our reasonable control.

16. Indemnity

16.1 You agree to indemnify and hold harmless PHAM Ezzyship Logistics and Courier Ltd, its directors, officers, employees, and agents from claims, losses, liabilities, and expenses arising from:

• 16.1.1 your breach of these Terms;
• 16.1.2 your misuse of the Platform; or
• 16.1.3 your violation of law or third-party rights.

17. Suspension and Termination

17.1 We may suspend, restrict, or terminate access where we reasonably believe you have breached these Terms, our policies, or applicable law.

17.2 We may remove listings, hold payouts, cancel transactions, or disable account features during investigations.

17.3 You must not attempt to bypass suspensions or access restrictions.

18. Policy Hierarchy

18.1 These Terms are read together with our policies, including Privacy Policy, Returns and Refund Policy, Seller Policy, and any promotional terms.

18.2 Where there is inconsistency, the following order applies unless stated otherwise: (a) these Terms, (b) specific service policy, (c) promotional terms.

19. Changes to Terms

19.1 We may update these Terms from time to time.

19.2 Updated Terms become effective upon publication on the Platform unless a later date is stated.

19.3 Continued use after updates constitutes acceptance of the revised Terms.

20. Force Majeure

20.1 We are not liable for delay or failure caused by events beyond reasonable control, including natural disasters, strikes, telecom or power outages, government action, cyberattacks, war, epidemic, or civil unrest.
